c. Client Responsibilities
Clients agree to: – Provide accurate and timely information – Cooperate with Canur’s team as required –
Ensure internal approvals for decisions and changes – Respect agreed timelines and communication

Delays caused by missing information or approvals may impact delivery timelines.

Payments & Fees

  • All fees are agreed upon before the start of services
  • Payments must be made according to the agreed schedule
  • Late payments may result in paused services
  • Fees are non-refundable unless explicitly stated in writing

Canur reserves the right to revise pricing for future services with prior notice.

Intellectual Property

Unless otherwise agreed in writing: – All strategies, systems, documents, processes, and internal
frameworks developed by Canur remain Canur’s intellectual property – Clients receive a limited, nontransferable license to use deliverables for their intended business purposes – Clients may not resell,
redistribute, or reuse Canur’s materials for commercial purposes without written permission

Confidentiality

Both parties agree to keep confidential any sensitive or proprietary information shared during the
engagement, including but not limited to business data, internal systems, pricing, and strategies.
This obligation survives the termination of services.

Limitation of Liability

To the maximum extent permitted by law: – Canur shall not be liable for indirect, incidental, or
consequential damages – Canur’s total liability shall not exceed the amount paid by the client for services in
the preceding three (3) months
We are not responsible for losses caused by third-party tools, platforms, drivers, marketplaces, or external
service providers.

Third-Party Tools & Platforms

Canur may use third-party tools, software, or platforms to deliver services. We are not responsible for
changes, downtime, or policy updates of such third-party providers.
Clients are responsible for complying with the terms of any third-party platforms they use.

Termination

Either party may terminate services with written notice as defined in the service agreement.
Upon termination: – Outstanding payments remain due – Access to Canur systems or materials may be
revoked – Confidentiality and intellectual property clauses remain in effect

Non-Compete & Non-Solicitation (If Applicable)

Where explicitly agreed in writing: – Clients may not solicit Canur’s employees or contractors during the
engagement and for a defined period after termination – Any non-compete obligations must be clearly
stated in a separate agreement.

Governing Law
